Chapter 1. General Provisions
Article 1. Title: China Auto Dealers Chamber of Commerce (CADCC).
Article 2. Character£ºUnder the leadership of All-China Federation of Industry Commerce, CADCC is a non-profit auto dealers organization .
Article 3. Tenet: Adhering to Deng Xiaoping Theory and following the basic guideline and the creed of CCP; insisting on the notion of CADCC hosted by the members; sticking to service-oriented; guiding the orientation of members; protecting the rights and interests of members; and providing criterion for auto industry.
Article 4. Comply with the guides and supervisions of All-China Federation of Industry Commerce.

£¨3£©Providing finance and financing, technique, information, production, administration, law and regulations services for members;
£¨4£© Initiating, visiting, and reviewing exhibitions and expositions, promoting the cooperation and intercommunication in auto industry (both domestic and international);
£¨5£©Accelerating the intercommunications between CADCC and other industrial organizations and associations in Hong Kong, Macao, Taiwan and other regions of world;
£¨6£©Vindicating the legal rights and interests of members, meeting the demands and reflecting the opinions and suggestions of members;
£¨7£©Supporting social welfare undertaking;
£¨8£©Organizing members for joining the activities of All-China Federation of Industry Commerce;

Article 9.¡¡Applications procedures

Article 10. Members¡¯ rights

Article 11. Members¡¯ obligations
£¨1£©Complying with the decisions of CADCC;
£¨2£©Protecting the legal rights and interests of CADCC;
£¨3£©Assuming the tasks of CADCC;
£¨4£©Paying the members¡¯ fee;
£¨5£©Providing the related information for CADCC.
Article 12. If quitting the qualifications, written form is wanted. Membership card must be returned back. If members do not pay membership fees in one year, or do not take part in any activities in one year, it will be regarded as quitting.
Article 13. If members go against with the regulations severely, the qualifications will be removed after the discussions of the standing council (or President Conferences Office).
Chapter 4.¡¡Election and removal of CADCC principals
Article 14.¡¡Members (Commissioner) Council Convention is the highest authority of CADCC, and its authority including

£¨2£©Elections of CADCC Director Committee;
£¨3£©Consideration in Work Report and Finance Report of the council;
£¨4£©About the terminations matters;
£¨5£©Other important matters.
Article 15. Members (Commissioner) Council Convention must be convened when over 1/2 members attend it. The decision shall become effective as 1/2 members¡¯ agreeing. ¡¡
Article 16. Members (Commissioner) Council Convention holds in every three years. If it will be ahead of schedule or be delayed, the date-changing proceedings must be discussed by the Council Convention and then confirmed by All-China Federation of Industry Commerce. The deferred date cannot exceed one year.
Article 17.¡¡Answering for Members (Commissioner) Council Convention, Director Committee Convention is an executive institution when Members (Commissioner) Council Convention closed.

Article 19.¡¡Director Committee Convention must be convened when over 1/2 members attend it. The decision shall become effective as 1/2 members¡¯ agreeing. ¡¡
Article 20. Director Committee Convention holds once in every year at least, and the Conventions can also be used for communications format in the certain circumstances.
Article 21. The Standing Director Committee Convention .Answering for Director Committee Convention, The Standing Director Committee Convention is an executive institution when Director Committee Convention closed. Authorities of Standing Director Committee includes

£¨2£©Retaining of honorary presidents;
£¨3£©Retaining of CADCC consultant;
£¨4£©Other important matters.
Article 22. Standing Director Committee Convention holds once in every year at least and the Conventions can also be used for communications format in the certain circumstances.
Article 23. ¡¡Standing Director Committee Convention must be convened when over 1/2 members attend it. The decision shall become effective as 1/2 members¡¯ agreeing.
Article 24. Presidents Conference is established for which executed by president and vice-presidents. Presidents Conference must be holds once in half a year at least and the Conference can also be used for communications format in the certain circumstances. Presidents Conference must be convened when over 1/2 members attend it. The decision shall become effective as 1/2 members¡¯ agreeing.
Article 25.¡¡One full-time secretary-general nominated by president and discussed by Presidents Conference, and then confirmed by All-China Federation of Industry Commerce.
Article 26. President Conference Office includes president, vice-presidents and secretary-general. The conference must be holds once every three months at least and can also be used for communications format in the certain circumstances. Conference must be convened when over 1/2 members attend it. The decision shall become effective as 1/2 members¡¯ agreeing.
Article 27. Qualifications of president, vice-presidents and secretary-general
£¨1£©Execution of the guideline and policies of the Party;
£¨2£©Great influence on involved area of CADCC;
£¨3£©The age of president and vice-presidents is not more than 65, full-time secretary-general is not more than 60;
£¨4£©Healthy;
£¨5£©Complete civil conduct.
Article 28.¡¡If president, vice-presidents and secretary-general exceed the maximum service age, it must be discussed by the standing director¡¯s committee and then confirmed by All-China Federation of Industry Commerce.
Article 29. General term of president is 2(or 3) years, not re-elected. Vice-presidents¡¯ general term is 2 years at most and executive president is 1 year. In certain circumstance, postponement of the term shall become effective as 1/2 members¡¯ agreeing and will be confirmed by All-China Federation of Industry Commerce.

Article 31. Secretary-general assists in president¡¯s daily routine.¡¡
Article 32. Authorities of Secretary-general
£¨1£©Presiding over the daily routine of affairs department and carrying out employment projects;
£¨2£©Working together with branch department, representative department and entity department;
£¨3£©Nominating vice secretary-general and principals of branch department, representative department and entity department; then the nomination discussed by President Conference Office;
£¨4£©Deciding in the personnel retaining of affairs department, representative department and entity department;
£¨5£©Other daily routine;
£¨6£©Taking over the members¡¯ fee, contribution and donation
Chapter 5.¡¡Tenets of assets administration
Article 33.¡¡Sources of CADCC outlay
£¨1£©members¡¯ fee;
£¨2£©contribution;
£¨3£©government donation funds;
£¨4£©the earnings of activities and services within approved business affairs;
£¨5£©interests;
£¨6£©other legal earnings.
Article 34. According to national related regulations, the amounts of members¡¯ fee is consistent with the auto dealers industry
Article 35.CADCC outlay must be used for the business and development of CADCC.
Article 36.Strict finance administration system is set up for the guarantee of legality, sincerity, trueness and integrity.
Article 37. CADCC has a professional qualified accountant, but not accountant and cashier one time. Calculation and supervision actions must be taken by accountant. Hand-over procedures must be run when accountant quits the position.
Article 38. Under the supervision of Members (Commissioner) Council Convention and All-China Federation of Industry Commerce, CADCC performs the national finance administration system. The government donation funds and society contributions is supervised by Auditing Ministry, and informes the members in certain ways.
Article 39. Posting-leaving of the principals must be audited, and then the principals afford finance auditing reports offered by accountant office.
Article 40. The assets cannot be captured and embezzled by any individual and enterprises.
Article 41. Wages, insurance and benefits of full-time personnel in accordance with the regulations of institution enterprises.¡¡
Chapter 6.¡¡Regulation Emendation
Article 42. Regulation Emendation must be censored and approved by All-China Federation of Industry Commerce, and then Members (Commissioner) Council Convention. In certain circumstances, it is censored and approved by All-China Federation of Industry Commerce, and then executed by Director Committee Convention, finally, discussed and agreed by Members (Commissioner) Council Convention.
Article 43. These regulations shall become effective as of in the fifteen days after Members (Commissioner) Council Convention ends that after approved by All-China Federation of Industry Commerce.
Chapter 7. Termination proceedings and estate disposition

Article 44.¡¡ Tenet-completed, dissolutions, separations, merger and other factors to CADCC termination, a termination proposal must be put forward by Director Committee, Standing Director Committee and President Conference Office.
Article 45.¡¡Termination proposal must be discussed and approved by Members (Commissioner) Council Convention, and then censored and approved by All-China Federation of Industry Commerce.
Article 46.¡¡Before the termination, under the leadership of All-China Federation of Industry Commerce, the activities of liquidation, debt liquidation and after affairs must be commenced.
Article 47. After termination registration in All-China Federation of Industry Commerce, it ends.
Article 48.¡¡Under the supervision of All-China Federation of Industry Commerce, the leavings assets will be used for the development of related projects.
Chapter 8. Supplementary articles¡¡
Article 49.¡¡Regulations are discussed and approved by Members (Commissioner) Council Convention.
Article 50. The interpretation of the regulations is belonged to Standing Director Committee.
Article 51. These regulations shall become effective as of the date approved by All-China Federation of Industry Commerce. |
